EMISSIONS COMPLIANCE & REGULATORY USE AGREEMENT

This Emissions Compliance & Regulatory Use Agreement (“Agreement”) governs the purchase, installation, and use of all AMR Performance LLC (“AMR Performance,” “AMR,” “we,” “our,” or “us”) products, including but not limited to:

  • ECU/TCU/CPC calibrations
  • Software upgrades
  • Tuning suites & dealer tools
  • Handheld devices & flashing equipment
  • Special features & motorsport add-ons
  • Hardware components (HPFPs, controllers, modules, etc.)

By purchasing, installing, accessing, or using any AMR product or service, you (“Customer,” “User”) acknowledge and agree to the following:

1. Intended & Lawful Use

AMR Performance products and services are designed and sold for the following lawful purposes:

  • Bringing a vehicle into emissions compliance
  • Maintaining emissions compliance
  • Diagnostics, monitoring, and data acquisition
  • Calibration development for compliant vehicles
  • Motorsport, racing, and competition vehicles
  • Off-road or exempt vehicles not operated on public roads

AMR Performance does not condone or authorize the use of its products to violate emissions laws or environmental regulations.

2. Prohibited Use / Defeat Device Acknowledgment

You expressly represent and warrant that you will NOT:

  • Use AMR products as a defeat device
  • Remove, disable, or circumvent emissions equipment on a public-road vehicle
  • Delete or modify catalytic converters, O2 systems, EGR systems, DPF/GPF systems, or other emissions controls where prohibited by law
  • Request, create, distribute, or install non-compliant calibrations for public-road use
  • Operate a modified vehicle on public roads where such modifications are not legally permitted

Any such use is strictly prohibited and constitutes a violation of this Agreement.

3. EPA / CARB / Federal & State Compliance

You acknowledge that vehicle emissions are regulated by, but not limited to:

  • The United States Environmental Protection Agency (EPA)
  • The California Air Resources Board (CARB)
  • State and local environmental agencies
  • Federal Clean Air Act regulations

You agree to comply with all applicable local, state, and federal laws governing vehicle emissions where the vehicle is registered and/or operated.

4. Competition / Off-Road Vehicle Use

Certain AMR products are intended exclusively for:

  • Closed-course racing
  • Motorsport competition
  • Track use
  • Off-road vehicles
  • Export vehicles
  • Vehicles exempt from emissions requirements

Such vehicles may not be legally operated on public roads.
It is your sole responsibility to ensure proper use classification.

5. No Pre-Made Public-Road Delete Calibrations

AMR Performance:

  • Does not sell or provide pre-made emissions delete tunes for public-road vehicles
  • Does not distribute defeat devices
  • Does not guarantee emissions test passage for modified vehicles
  • Does not provide legal advice regarding emissions compliance

All calibrations are provided under lawful use frameworks outlined herein.

6. Professional & Authorized Use

You represent that AMR tools, software, and calibrations will only be used by:

  • Professional calibration specialists
  • Authorized dealers
  • Qualified technicians
  • Vehicle manufacturers or motorsport entities

Improper installation or unlawful calibration use voids all warranties and support.

7. Customer Responsibility

You assume full responsibility for:

  • How the product is used
  • Vehicle compliance status
  • Local emissions laws
  • Inspection/registration outcomes
  • Vehicle legality for road use

AMR Performance bears no responsibility for misuse or unlawful application.

8. Indemnification

You agree to indemnify, defend, and hold harmless AMR Performance LLC, its owners, employees, partners, and affiliates from any claims, fines, penalties, damages, or legal actions arising from:

  • Unlawful emissions modifications
  • Non-compliant vehicle operation
  • Regulatory violations
  • Misuse of tuning tools or calibrations

9. Account & Software Revocation

AMR Performance reserves the right to:

  • Suspend or terminate software access
  • Revoke licenses
  • Disable accounts
  • Refuse future service

If emissions law violations or Agreement breaches are suspected or verified.

10. No Guarantee of Emissions Test Results

AMR Performance makes no guarantee that any modified vehicle will:

  • Pass emissions testing
  • Meet readiness monitors
  • Comply with state inspection requirements

Compliance depends on vehicle configuration, hardware, and local regulations.

11. Acknowledgment of Racing Risk

Motorsport and competition calibrations:

  • Increase mechanical stress
  • May reduce emissions system lifespan
  • May render the vehicle non-road-legal

You accept all risks associated with such use.

Customer Acceptance & Certification

By checking the acceptance box at checkout, signing digitally, or using AMR products, you certify that:

  • You have read this Agreement in full
  • You understand emissions compliance laws
  • You will not use AMR products unlawfully
  • You accept all legal responsibility
  • You agree to indemnify AMR Performance
  • You acknowledge competition/off-road limitations where applicable
